The AAPS Audit Committee advises the Board of Directors on accomplishing its fiduciary responsibilities. AAPS is now seeking a volunteer with a basic understanding of financial documents and controls to chair the committee from February 2022 to February 2024. The ideal applicant possesses both integrity and an unbiased perspective.
The Committee's responsibilities include:
- Recommending annually an independent auditor to the Board, including the auditor's compensation, to conduct an external audit of AAPS's financial statements
- Determining the independent auditor's scope of work
- Overseeing AAPS' annual independent audit of its financial statements
- Reviewing the draft independent audit, including the management letter and auditor comments; discussing such matters with the independent auditor as appropriate; and presenting to the Board for review and acceptance
- Reviewing the Form 990 prior to its submission to the IRS
- Considering and reviewing with AAPS management the adequacy of AAPS' risk management methodology and internal controls; assessing steps management should take to minimize such risks; and periodically reviewing compliance with those steps
- Overseeing policies and procedures for encouraging whistleblowers to report any questionable accounting or auditing matters
- Presenting an annual Audit Committee report to the Board
The chair ensures the committee meets its obligations by coordinating with AAPS staff to develop meeting agendas; facilitating committee meetings; and ensuring that the minutes of the committee's formal actions are kept.
Time Commitment
The chair will lead two, 2-hour virtual meetings per year, generally taking place in February/March and August/September, and may lead ad hoc meetings as needed.
Applicant Requirements
- Must be an AAPS member at time of application through February 2024
- Familiarity with reading and understanding financial statements
- Basic understanding of internal controls and their functionality
- Must hold no material financial interest in any entity doing business with AAPS
